1Who we are
These terms are an agreement between you and Prompterio LLC, 75 E 3rd St, Sheridan, WY 82801, United States ("VelPay", "we"). By creating an account you accept them on behalf of the business you represent.
2Eligibility
You must be a registered business, at least 18 years old, and sell lawful goods or services online. We verify every business before live payments open and may decline any application.
You may not use VelPay for any category listed in our Acceptable Use Policy.
3The service
We provide a hosted checkout, an API, a merchant dashboard and payouts. Payment methods are provided together with third-party partners; availability depends on your country, your business and partner approval.
Card payments are processed through crypto on-ramp partners: the payer buys digital assets from the partner, which are delivered to you through us. The partner's own terms apply to the payer.
4Fees
You pay the per-payment rates shown on the pricing page or agreed in writing. Fees are deducted from each payment before it reaches your balance. We may change fees with 30 days' notice.
5Balances and payouts
Settled funds become available in your balance and can be withdrawn to a wallet you control. We may hold funds, set a reserve or delay payouts where we reasonably suspect fraud, a breach of these terms, or elevated refund or dispute risk.
6Refunds and disputes
You are responsible for refunds to your customers and for any disputes, chargebacks, fees and losses resulting from your transactions.
7Your obligations
Keep your account and API keys secure, give accurate business information, comply with all laws that apply to you, and display clear terms, prices and contact details to your customers.
8Suspension and termination
You may close your account at any time. We may suspend or terminate access immediately if you breach these terms or the law, or if a partner requires it. Funds owed to you are paid out after deducting amounts you owe us.
9Liability
The service is provided as is. To the extent permitted by law, our total liability is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses.
10Governing law
These terms are governed by the laws of the State of Wyoming, USA. The state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction.
